Terms of service

These terms govern use of the Standup desktop application and web companion (“the Service”), operated by [operating entity] (“we”). By installing or using the Service you agree to them.

What the Service does

The Service records your foreground application activity locally, lets you review and edit a daily summary, and — once you approve it — generates a written report, appends it to a spreadsheet you nominate, and sends it by email from your own account.

Your account

You need an account to use the Service, and you are responsible for activity under it. Access is granted by your organisation’s administrator; a new account has no permissions until a role is assigned.

Your content and your credentials

You retain ownership of everything you submit. You grant us only the permission needed to operate the Service on your behalf: to store your approved summaries, generate reports from them, and write to the destinations you configured.

You supply your own credentials for third-party services (Google, GitHub, and an AI provider). You are responsible for having the right to use them, and for any charges those providers bill you — notably AI token usage, which is billed to your key and not to us.

Acceptable use

You must not:

  • install the agent on a machine you are not authorised to use, or without the knowledge of the person using it;
  • attempt to obtain another user’s activity data, or circumvent the controls that prevent it;
  • use the Service to monitor a person who has not consented to being monitored, or in breach of employment or data-protection law in your jurisdiction;
  • reverse engineer, resell, or attempt to disrupt the Service or its infrastructure.

The Service is designed so that the person being measured controls what is reported. Deploying it in a way that defeats that — for example, by preventing employees from reviewing their own day — is a breach of these terms.

Availability

The Service is provided on an “as is” basis. We do not guarantee that a report will be generated or delivered on any particular day: delivery depends on third-party services (Google, GitHub, your AI provider), on your machine being available at the scheduled time, and on your own configuration being correct.

Liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, including loss arising from a report that was inaccurate, delayed, or not sent. [Liability cap and jurisdiction-specific carve-outs to be completed.]

Termination

You may stop using the Service at any time by uninstalling the agent, which removes all local data. We may suspend an account that breaches these terms.

Changes

We may update these terms. Material changes will be notified in the application before they take effect.
